Welcome to American Digitizer. These Terms and Conditions (“Terms”) govern your access to and use of AmericanDigitizer.com (the “Site”) and any embroidery digitizing, vector art conversion, patch, label, or related custom design and production services provided by American Digitizer (“American Digitizer,” “we,” “us,” or “our”).
By accessing our Site, requesting a quote, submitting artwork, placing an order, or purchasing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
American Digitizer provides custom digital and physical design services, including:

All orders and quote requests are subject to acceptance by American Digitizer.

A quoted price is not considered final until the order has been confirmed by American Digitizer.
We reserve the right to correct pricing, specification, or other errors before an order is confirmed.
Full or partial payment may be required before work or production begins, as specified in the applicable quote, invoice, or checkout process.
Payments may be processed through secure third-party payment providers.
American Digitizer does not store complete payment card information on its own systems.
By submitting payment, you authorize the applicable payment provider to process the amount associated with your order.
You are responsible for all artwork, logos, images, text, trademarks, and other materials that you submit to American Digitizer.
By submitting content, you represent and warrant that:
American Digitizer is not responsible for claims, damages, or disputes resulting from client-submitted artwork or materials.
Once full payment has been received, the client receives the right to use the completed digitized embroidery file for their own production and business purposes.
Unless otherwise agreed in writing:
The purchase of a digitizing service does not automatically transfer ownership of American Digitizer’s proprietary processes, techniques, templates, or production methods.
Where applicable, American Digitizer may provide a design proof, preview, mockup, or other representation of the requested work for client review.
The client is responsible for carefully reviewing the proof, including:
Once the client approves a design or proof, the order may proceed to production or final file preparation.
Client approval confirms that the submitted specifications and design are acceptable.
Free revisions are included for the purpose of correcting genuine digitizing or production-related issues attributable to American Digitizer, subject to the nature of the Services provided.
Examples may include:
Revisions requested because the client changes the original design, artwork, dimensions, colors, text, specifications, or other requirements after work has begun may be subject to additional charges.
The number and scope of revisions may depend on the specific service and order.
Standard turnaround times vary depending on the service and complexity of the order.
As a general guideline:
Turnaround estimates are not guaranteed unless a specific guaranteed delivery time has been agreed to in writing.
Rush service may be available for an additional fee, subject to availability.
All orders are generally final and non-refundable once confirmed and paid.
Where a design proof or preview is provided, the client may review and approve the design before payment is collected or before final processing, as applicable.
Because custom digitizing and production services are created specifically for the client, payments for confirmed custom orders are not refundable simply because the client changes their mind after work has begun or an order has been approved.
If a completed file contains a genuine digitizing error caused by American Digitizer, we will make reasonable corrections at no additional charge.
Refunds will generally not be issued where the requested service has already been completed according to the approved specifications.
For physical products such as patches and labels, estimated production and shipping times will be provided at checkout, in a quote, or in an order confirmation where applicable.
Shipping times are estimates and are not guaranteed unless expressly agreed otherwise in writing.
American Digitizer is not responsible for delays caused by:
For physical products, risk of loss and title may pass to the client upon delivery of the shipment to the shipping carrier, to the extent permitted by applicable law.
International customers may be responsible for applicable customs duties, taxes, import fees, or other charges imposed by their destination country.
Requests to change an order after work or production has begun may not always be possible.
If a requested change requires additional design, digitizing, materials, or production work, additional charges may apply.
American Digitizer will communicate applicable additional charges before proceeding where reasonably practicable.
All content appearing on AmericanDigitizer.com, including but not limited to:
is owned by or licensed to American Digitizer and is protected by applicable intellectual property laws unless otherwise stated.
You may not copy, reproduce, modify, distribute, publish, sell, or commercially exploit Site content without prior written permission.
You agree not to use the Site or Services to:

To the fullest extent permitted by applicable law, the Site and Services are provided on an “as is” and “as available” basis.
While American Digitizer strives to provide professional, high-quality, industry-standard work, we do not guarantee that:

To the fullest extent permitted by applicable law, American Digitizer shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Site or Services.

To the fullest extent permitted by law, American Digitizer’s total liability for any claim relating to a specific order or Service shall not exceed the amount actually paid by the client for the specific order giving rise to the claim.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.
American Digitizer shall not be responsible for delays or failure to perform caused by circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, power outages, internet or technology failures, labor disputes, government actions, transportation disruptions, supplier issues, or other events outside our reasonable control.
These Terms shall be governed by and interpreted in accordance with the laws of the State of New Jersey, United States, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Any disputes arising from these Terms or the Services shall be handled in accordance with applicable law.
American Digitizer may modify or update these Terms from time to time.
When changes are made, the updated version will be posted on the Site and the “Last Updated” date will be revised.
Your continued use of the Site or Services after updated Terms are posted constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
These Terms, together with any applicable quote, invoice, order confirmation, and other written agreements between you and American Digitizer, constitute the agreement governing your use of the Site and purchase of Services, unless otherwise agreed in writing.
